Terms of Service

Welcome to QademNow! These Terms of Service ("Terms") govern your use of the QademNow mobile application and services. By accessing or using QademNow, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using QademNow, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

We reserve the right to modify these Terms at any time. We will notify you of significant changes through the app or via email. Your continued use of QademNow after such modifications constitutes your acceptance of the updated Terms.

2. Service Description

QademNow is a school bus transportation management platform that connects:

• Parents: Register children, book bus subscriptions, track buses in real-time, and manage transportation needs
• Drivers: Register and verify credentials, create routes, manage subscriptions, and provide safe transportation
• Administrators: Manage the platform, verify drivers, monitor operations, and ensure quality service

3. Account Registration & Eligibility

3.1 Age Requirements

• You must be at least 18 years old to create an account
• Parents/guardians must be legally responsible for registered children
• Drivers must possess valid driving licenses and meet all legal requirements

3.2 Account Responsibility

• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must provide accurate, current, and complete information
• You must notify us immediately of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts that violate these Terms

3.3 Phone Verification

QademNow uses phone number authentication. You agree to:

• Provide a valid phone number that you own and control
• Receive SMS verification codes
• Not share your verification codes with anyone

4. User Roles & Responsibilities

4.1 Parents

As a parent, you agree to:

• Provide accurate information about your children
• Ensure children are ready at pickup times
• Inform drivers of child unavailability when necessary
• Make timely payments for subscriptions
• Report any safety concerns immediately
• Respect drivers and maintain professional communication

4.2 Drivers

As a driver, you agree to:

• Provide valid and current documentation (license, vehicle registration, insurance)
• Maintain vehicle safety and cleanliness standards
• Follow approved routes and schedules
• Ensure child safety at all times
• Mark attendance accurately
• Maintain professional conduct with parents and children
• Not discriminate based on race, religion, gender, or any other protected characteristic
• Report vehicle maintenance issues promptly
• Not accept subscription requests beyond vehicle capacity

4.3 Driver Verification

All drivers must undergo verification including:

• Identity verification with government-issued ID
• Valid driving license verification
• Vehicle registration and insurance verification
• Background checks (where applicable by law)
• Admin approval before activation

5. Subscriptions & Payments

5.1 Subscription Process

• Parents request subscriptions for specific routes
• Drivers can accept or reject requests based on capacity
• Payments are processed upon driver acceptance
• Subscriptions become active after successful payment and driver acceptance

5.2 Pricing

• Drivers set per-kilometer rates for their routes
• Platform fees are calculated and displayed before payment
• VAT and other applicable taxes are included in the final amount
• Prices are subject to change with advance notice

5.3 Payment Terms

• Payments are processed through EDFAPAY (PCI-DSS compliant)
• All payments are in Saudi Riyals (SAR) unless otherwise specified
• You authorize us to charge your selected payment method
• Failed payments may result in subscription suspension
• Receipts are available in the app

5.4 Refund Policy

• Driver Rejection: Automatic full refund within 3-5 business days
• Cancellation Before Service Start: Full refund minus processing fees
• Cancellation After Service Start: Pro-rated refund based on unused days
• Driver No-Show: Full refund for that day/period
• Service Issues: Case-by-case review by support team

5.5 Coupons & Discounts

• Coupons are subject to terms and conditions
• Coupons cannot be combined unless explicitly stated
• Expired or invalid coupons will not be honored
• We reserve the right to modify or cancel coupon programs

6. Location Services & Tracking

6.1 GPS Tracking

By using QademNow, you consent to:

• Parents: Sharing child pickup/dropoff locations with assigned drivers
• Drivers: Real-time GPS tracking during active rides
• Purpose: Route navigation, attendance, safety, and transparency

6.2 Location Data Usage

• Driver location is shared with parents of assigned children during active rides
• Location history is retained for 30 days for operational purposes
• Location data is encrypted during transmission and storage
• You can disable location services, but this will limit core functionality

7. Child Safety & Welfare

7.1 Our Commitment

• All drivers undergo verification and background checks
• Real-time tracking ensures transparency
• Attendance marking provides pickup/dropoff confirmation
• Emergency contact information is available to drivers

7.2 Parent Responsibility

• Ensure children understand bus safety rules
• Provide accurate medical and emergency information
• Update child information when circumstances change
• Report any safety concerns immediately

7.3 Driver Responsibility

• Ensure child safety during pickup, transit, and dropoff
• Follow traffic laws and safety regulations
• Report any incidents or concerns immediately
• Maintain a safe and respectful environment

8. Prohibited Conduct

You agree NOT to:

• Use the service for any illegal purpose
• Impersonate any person or entity
• Harass, abuse, or harm others
• Upload false or misleading information
• Interfere with the service or servers
• Attempt to gain unauthorized access to any part of the service
• Use automated systems (bots) to access the service
• Collect user information without consent
• Reverse engineer or attempt to extract source code
• Use the service to compete with QademNow

9. Intellectual Property

9.1 Our Rights

QademNow and all related trademarks, logos, and content are owned by us or our licensors. You may not:

• Copy, modify, or distribute our content without permission
• Use our trademarks or branding without written consent
• Create derivative works based on our service

9.2 Your Content

You retain ownership of content you upload (photos, information). However, you grant us a license to:

• Store and display your content to provide the service
• Share relevant information with other users (e.g., child photos with assigned drivers)
• Use anonymized data for analytics and service improvement

10. Disclaimers & Limitations of Liability

10.1 Service "As Is"

10.2 No Guarantee of Results

• We facilitate connections between parents and drivers but are not a transportation provider
• We verify drivers but cannot guarantee their performance
• GPS accuracy may vary based on device and network conditions
• Service availability may be affected by technical issues

10.3 Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid in the last 12 months
• We are not responsible for driver actions or vehicle incidents
• We are not liable for third-party service failures (payment gateways, maps, etc.)

11. Indemnification

You agree to indemnify and hold harmless QademNow, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any rights of another person
• Any content you submit or share

12. Termination

12.1 By You

You may terminate your account at any time by:

• Contacting our support team
• Requesting account deletion through the app

12.2 By Us

We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent activity
• Your account poses security risks
• Required by law or legal process
• We discontinue the service

12.3 Effect of Termination

• Active subscriptions will be cancelled with pro-rated refunds
• Your data will be deleted per our Privacy Policy
• Outstanding payments remain due
• Some provisions of these Terms survive termination

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to contact us at support@qadem.com to seek informal resolution.

13.2 Governing Law

These Terms are governed by the laws of Saudi Arabia. Any disputes will be resolved in the courts of Riyadh, Saudi Arabia.

13.3 Arbitration (if applicable)

For disputes that cannot be resolved informally, we may require binding arbitration under the rules of [Arbitration Body in Saudi Arabia].

14. Third-Party Services

QademNow integrates with third-party services:

• Firebase (Google): Authentication, database, storage
• EDFAPAY: Payment processing
• Google Maps: Mapping and navigation
• WhatsApp: Communication (optional)

These services have their own terms and policies. We are not responsible for third-party service actions or failures.

15. Data Protection & Privacy

Your use of QademNow is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. Please review it carefully.

16. Force Majeure

We are not liable for delays or failures in service due to causes beyond our reasonable control, including:

• Natural disasters, pandemics, or acts of God
• Government actions or restrictions
• Network or internet failures
• Strikes or labor disputes

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and QademNow.

17.2 Severability

If any provision of these Terms is found invalid, the remaining provisions will remain in effect.

17.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

17.4 Assignment

You may not transfer your rights under these Terms. We may assign our rights to any affiliate or successor.

17.5 Language

These Terms are provided in English. If translated, the English version prevails in case of conflicts.
